ARTICLE I

 

The name of this organization shall be the North College Hill Business Association.

ARTICLE II

PURPOSE

 

To promote the businesses of North College Hill.

 

To promote understanding and harmony between members and residents of North College Hill.

 

To encourage ethical business practices for all business enterprises in the community.

 

To encourage wise and needful legislation and governmental cooperation.

 

To make North College Hill an outstanding community in which to live.

 

ARTICLE III

MEMBERSHIP

 

Any business or organization that conducts business within the city limits of North College Hill may be represented by reputable person or persons, and that member business/organization shall be eligible to one membership and one vote.

 

Membership in this Association will be based on payment of dues as determined by the Executive Committee.

 

A member shall stand suspended if dues are three (3) months or more in arrears; a member six (6) months in arrears shall be dropped from membership.  Members may be reinstated by payment of current dues and one (1) year past dues upon approval of the Executive Committee.  A suspended member shall hold no voting rights during the period of suspension.

 

Membership dues notices are to be mailed to each member business by the Treasurer of the Association in May of each year.  Payment of said notice is due within six (6) weeks of receipt of dues notice.


ARTICLE IV

 

The officers of the Association shall be the President, Secretary, and Treasurer, elected annually by the membership.

 

The Executive Committee shall number not less than five (5) nor more than ten (10) as directed annually by the membership.

 

All of the officers and Executive Committee members, together with the immediate Past President shall compose the Executive Committee.

 

ARTICLE V

 

Amendments must be offered in writing, signed by at least six (6) members and submitted to the Executive Committee, whose duty it shall be to submit a copy of same to the members of the Association not less than seven (7) days prior to the meeting in which it is to be voted on.

 

It shall take a two-thirds vote of the members present at the meeting to pass the amendment.

 

ARTICLE VI

 

At the January meeting, the President shall appoint a committee of three (3) members to serve as a Nominating Committee, one of whom shall be a member of the Executive Committee.  This committee shall nominate at least one candidate for each office to be filled and distribute their nominations to the membership at least two (2) weeks before the February meeting and election.

 

Any five (5) members may present an independent candidate at least one (1) month prior to the annual election meeting.

 

Nominations for write-in candidates will be accepted the night of the election.

 

The official ballot shall be provided by the Nominating Committee and the conduct of the election shall be in the hands of the Nominating Committee.

 

The Nominating Committee shall provide all necessary equipment for the purpose of conducting such election so as to carry out the intent of the by-laws.  In counting the ballots, the intention of the voters governs.  All questions as to the counting of the ballots shall be determined by the Nominating Committee.

 

Only members in good standing and current in their dues payment will be eligible to vote.


ARTICLE VII

MANAGEMENT

 

The Management of this Association shall be carried on by the Executive Committee.  Five Executive Committee members constitute a quorum.  In case of a vacancy in the Executive Committee, a successor shall be appointed by the president to fulfill the balance of the term.

 

SECTION 1.  DUTIES OF THE PRESIDENT

The President shall preside at all meetings of the Association and the Executive Committee.  The President shall appoint all committees for the proper carrying out of the work of the organization and shall be ex-officio a member of each.  The President is responsible for auditing books yearly or appointing a committee to do same.  In the absence of the President, the President shall appoint someone from the Executive Committee to act in his/her place.

 

SECTION 2.  DUTIES OF THE TREASURER

The Treasurer shall have charge of the funds of this Association, and of their disbursement under the direction of the Executive Committee.  Checks are to be signed by any two officers of the Association designated to do so.  The Treasurer shall keep a record of all monies received and paid out making a report of the same at the regular monthly meetings.  All disbursements must be made by check.

 

SECTION 3.  DUTIES OF THE SECRETARY

The Secretary will make and keep accurate records of all proceedings of all meetings of the Association and the Executive Committee.  The Secretary will deliver all records to the successor, who will then file them as directed by the Association. The Secretary will give notice to the members of all regular and special meetings, and to the Executive Committee of their meetings.  The Secretary will be responsible for taking care of all correspondence for the Association.

 

SECTION 4.  EXECUTIVE COMMITTEE

The Executive Committee shall have the power, and it shall be its duty to:

Investigate all charges brought against or by the Association, and make a report to the members.

Acquire and dispose of the property of the Association, as may be directed by the membership.

Designate the bank or banks in which funds of the Association are to be deposited and to notify said bank or banks of all signatures required for the withdrawal of funds and of any change of officers.

Make contracts and purchases in the transaction of routine business.

Attend all meetings.

ARTICLE VIII

MEETINGS

 

The regular meetings of this Association shall be quarterly.  Special meetings of the Association may be called by the President and must be called by the President on written request of at least ten (10) members.  Executive Committee meetings of this Association shall be held monthly and prior to the regular meetings.

 

ARTICLE IX

DUES

 

Membership dues in the Association shall be decided by the Executive Committee.  Dues notices will be mailed by the Treasurer in April of each year and must be paid within six (6) weeks upon receipt of said notice.

 

 

ARTICLE X

MEMBERS EXPENSES

 

A request for reimbursement of any routine expense in carrying out the work of the Association may be presented to the Treasurer who will make payment.  Expenses of $50.00 or more must be approved by at least two (2) or more officers and/or Executive Committee members.

 

ARTICLE XI

CHARGES

 

Charges of any character against any member must be written charges and signed by at least three (3) members of the Association and submitted to the Executive Committee, who shall make an investigation of such charges and their findings must be submitted in writing to the Association for final action.
